1. Acceptance of Terms
By accessing or using any Readiness AI service, you agree to these Terms of Service. If you do not agree, do not use the service. Use of the platform constitutes acceptance of these terms on behalf of yourself and any organization you represent.
2. Service Description
Readiness AI is a software platform that helps Canadian small and mid-sized businesses organize cyber control evidence for insurance renewal, client security reviews, and compliance workflows. The platform supports readiness reviews, evidence organization, and documentation preparation. It does not provide managed security services, legal services, or insurance brokerage.
3. No Insurance, Legal, Security, or Compliance Guarantee
Readiness AI does not guarantee insurance approval, regulatory compliance, breach prevention, certification, or claim acceptance. Use of the platform does not ensure that any insurer, regulator, client, or other third party will accept your evidence or approve any application. Final decisions remain entirely with insurers, clients, regulators, and other third parties.
4. Customer Responsibilities
You are responsible for: (a) providing accurate and complete information; (b) ensuring you have the right to share any evidence, documents, or system access provided; (c) maintaining the confidentiality of your account credentials; (d) complying with applicable laws and regulations; and (e) reviewing evidence outputs before sharing with third parties.
5. Account Access and Evidence
Platform access is provided following a readiness review, payment confirmation, and onboarding completion. Evidence collected is limited to the scope agreed during onboarding. Readiness AI does not require or accept unnecessary system access. You retain ownership of your evidence and business data submitted through the platform.
6. Payment Terms
Platform access is subject to payment of applicable fees as confirmed during the readiness review and onboarding process. Fees are billed in Canadian dollars unless otherwise specified. Payment is due in advance of platform access unless a different arrangement is confirmed in writing.
7. Refunds and Cancellations
Refund and cancellation terms will be confirmed at the time of onboarding. Generally, fees paid for completed readiness reviews are non-refundable. Monthly platform fees may be cancelled with notice as specified in your onboarding agreement. Readiness AI reserves the right to update refund terms with reasonable notice.
8. Acceptable Use
You may not use the platform to: (a) submit false or misleading information; (b) attempt to access systems or evidence you are not authorized to access; (c) reverse engineer, copy, or redistribute platform software; (d) use the service for illegal purposes; or (e) interfere with the platform or other customers. Readiness AI reserves the right to suspend accounts that violate acceptable use policies.
9. Intellectual Property
All platform software, workflows, templates, and generated reports are the intellectual property of Readiness AI or its licensors. You retain ownership of your business data and evidence. You are granted a limited, non-transferable licence to use the platform for your internal business purposes only.
10. Confidentiality
Readiness AI treats your business information as confidential and will not share it with third parties except as required to deliver the service, as required by law, or with your express permission. You agree not to disclose Readiness AI platform credentials, proprietary workflows, or pricing information to third parties without written consent.
11. Data and Privacy
Readiness AI collects and processes personal and business information as described in our Privacy Policy. By using the platform, you consent to this collection and processing. We comply with applicable Canadian privacy laws including PIPEDA and applicable provincial privacy legislation. Data is stored and processed in Canada or in jurisdictions with adequate privacy protections.
12. Service Availability
Readiness AI makes reasonable efforts to maintain platform availability but does not guarantee uninterrupted service. Planned maintenance, technical issues, or circumstances beyond our control may cause temporary unavailability. We will notify customers of planned downtime where reasonably practicable.
13. Termination
Either party may terminate platform access with notice as specified in the onboarding agreement. Readiness AI may suspend or terminate access immediately if you breach these terms, fail to make required payments, or engage in prohibited conduct. Upon termination, your access to the platform ends and any outstanding fees remain due.
14. Limitation of Liability
To the fullest extent permitted by law, Readiness AI’s total liability to you for any claim arising from or related to the service is limited to the fees paid by you in the three months preceding the claim. Readiness AI is not liable for indirect, consequential, incidental, or special damages, including loss of data, lost profits, or business interruption, even if advised of the possibility of such damages.
15. Changes to Terms
Readiness AI may update these Terms of Service from time to time. Updated terms will be posted at this URL with the revision date. Continued use of the platform after changes are posted constitutes acceptance of the updated terms. We will make reasonable efforts to notify active customers of material changes.
